DM Thumbs 2.0 User Licence Agreement

IMPORTANT:

PLEASE READ THIS CAREFULLY. IT IS A LEGAL DOCUMENT AND YOU MUST AGREE TO IT'S TERMS AND CONDITIONS TO USE THIS SOFTWARE PRODUCT.

GREENSPOT TECHNOLOGIES LIMITED WILL GRANT YOU A LICENCE TO USE THIS SOFTWARE PRODUCT IN CONSIDERATION OF YOU ACCEPTING ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.

SOFTWARE PRODUCT

Software Product refers to the DM Thumbs software version 2.0 along with any associated files or documentation distributed with the software. It also includes any updates, upgrades or revisions which may be provided by Greenspot Technologies Ltd except where such update, upgrade or revision is subject to a new Licence Agreement.

Any reference to 'software' or 'product' in this agreement means 'software product'.

FREE TRIAL USAGE

The Free Trial version of this software is provided free of charge but is limited with regard to its functionality.

FULL VERSION

To use a full unrestricted version of this software a licence must be obtained. A valid licence may only be obtained in one of 4 ways.

1. By purchasing the product via http://www.dmthumbs.com or other website that Greenspot Technologies Ltd may utilize from time to time for the marketing and sale of the product.
2. By purchasing another software product from Greenspot Technologies Ltd which specifically incorporates the use of the product within its licence agreement.
3. By purchasing a licence from a reseller who is authorized by Greenspot Technologies Ltd under a separate commercial agreement to resell the product.
4. By arranging to purchase a licence directly from Greenspot Technologies Ltd provided such purchase is acknowledged as providing a licence for use of the product.

In all cases a purchase of a licence permits use of the full unrestricted product in perpetuity provided that you comply with the requirements of the Activation and Validation clauses detailed below.

USAGE

By using this product you agree to and accept all the terms and conditions of this licence agreement.

GENERAL TERMS AND CONDITIONS

The remainder of this licence agreement comprises the general terms and conditions.

USE OF PRODUCT

You may:

1. Install the software on up to 2 computers at the same location.
2. Make one copy of the software for archival purposes only.
3. Use the software in accordance with the terms and conditions of this agreement.

You may not:

1. Redistribute this software product.
2. Sub-licence or lease this software product or use this product for any commercial purposes.
3. Transfer the software to another person, company or other legal entity.
4. Reverse engineer, disassemble, decompile or otherwise attempt to discover or alter the source code for the software.
5. Use the product in any manner outside of the terms and conditions of this agreement.
6. Disclose your licence key details to 3rd parties.

ACTIVATION

Activation associates the use of the software with a specific device. During activation the software will send information about the product and the device on which it is installed to Greenspot Technologies Ltd. The information sent comprises the licence details and data identifying the physical device. By using the software you consent to transmission of this information.

Activation requires the device on which the product is installed to be connected to the internet. No alternative method of activation is available and you will be required to activate the product within the period displayed by the software.

Failure to activate the software may affect its functionality or even render it unusable.

VALIDATION

From time to time the software will validate that it is activated and that it is properly licenced by sending information to Greenspot Technologies Ltd. The information sent comprises the licence details and data identifying the physical device along with data regarding the activation or a previous validation. By using the software you consent to transmission of this information.

In the event that validation fails to ascertain that the product is activated and properly licenced the software may cease to function properly or even become unusable.

MULTIPLE ACTIVATIONS

Greenspot Technologies Ltd acknowledges that you may from time to time need to install the product on a new or alternative device. Re-installation of the software will require further activation of the product and must fall within the criteria defined below.

A product may be activated on up to 2 devices at any one time provided that those devices are situated at the same location. Two devices are deemed to be at the same location if they have the same ip address.

This licence allows for a total of 4 activations. Should you require any further activations you will be required to contact Greenspot Technologies Ltd who may facilitate additional activations at their sole discretion. Contact details may be obtained from http://www.dmthumbs.com or other websites that Greenspot Technologies Ltd may utilize from time to time for marketing and sale of the product.

In the event that multiple activation attempts are identified that fall outside of the terms and conditions of this licence agreement, the software product may cease to function properly or even become unusable.

COPYRIGHT

You acknowledge that Greenspot Technologies Ltd is and remains the owner of all rights including the Copyright in the software.

LIMITED WARRANTY AND DAMAGES DISCLAIMER

1. Subject to clause 3 under this section Greenspot Technologies Ltd disclaims all warranties including but not limited to the following:

a. The product will be fit for the purpose intended by you.

b. The product will be free from defects or errors.

2. You acknowledge that the software cannot be guaranteed to be free from defects or errors and the existence of any such defects or errors will not constitute a breach of this agreement and Greenspot Technologies Ltd will not be liable for any damages, including consequential losses, arising out of any such defect or error subject to clause 3 under this section.

3. In the event that any applicable law does not allow the exclusion of liability detailed under this section Greenspot Technologies Ltd's liability will not exceed the purchase price paid for the software product.
